The Auditor
The Auditor is the most important person to determine if the Board has fulfilled it´s duties financially. She/he will submit a recommandation in the auditor statement at the general Assembly if the board can be released or not. If not it will usually mean that certain aspects still need clarification before a final judgement on their period in office can be made. All three board members share the responsibility of the finances. The Third Board Member is not carrying this weight alone.
The auditor will conduct an audit. It is a check of all ins and outs on the bank account and in cash in both currencies: Euro and Zloty. The repayment forms with the debtors (mainly debts of rent) should also be checked but aren´t important to our tax consultant.
If losses occure in the term of the Board members must pay the amount divided by three (each board member) themselves or must make use of their liability insurance.
